Step 2 of 3
Villaggi Cooperative — Investment Agreement
1. Parties
This agreement is entered into between the Investor identified in the signature block below and the Villaggi cooperative (a Dutch cooperative, 'the Cooperative'), whose share register and payment infrastructure are administered by Eyevestor, an AFM-regulated party independent of the founders.
2. Subscription
The Investor subscribes for shares in the Cooperative at the round price in force on the date of signature. The subscription amount is EUR 200,000, corresponding to 5,000 shares at EUR 40 per share.
3. Payment schedule
The subscription amount is paid in two instalments: a deposit of EUR 40,000 payable within seven (7) days after signature of this agreement, and a final payment of EUR 160,000 payable within thirty (30) days after the property is reserved by the Cooperative.
4. Asset and collateral
The Cooperative owns its estates outright and free of mortgage debt. The Investor's collateral position is one fully managed holiday home within the estate portfolio, held for the benefit of the Investor in the manner set out in the cooperative statutes.
5. Usage rights
Each calendar year the Investor may elect either five (5) weeks in one holiday home or two (2) weeks in a full village, across any property the Cooperative owns at the time of booking, subject to the booking calendar and house rules.
6. Profit share
The Investor is entitled to a share of any distributed cooperative profit, pro rata to shares held on the record date of the distribution.
7. Expansion rounds
At the close of each expansion round the Investor may sell up to 10% of the shares then held back to the Cooperative at that round's price. Remaining shares are revalued at that round's price and usage access extends to the newly acquired estate.
8. Transfer and administration
Shares are registered through Eyevestor. Transfers require the Cooperative's consent and follow the procedure in the statutes. All payments run through the regulated Eyevestor infrastructure.
9. Risk acknowledgement
The Investor acknowledges that this is an illiquid, long-term real estate investment; that projections in the accompanying prospectus describe a mechanism rather than a guaranteed return; and that the value of the shares may fall as well as rise.
10. Governing law
This agreement is governed by Dutch law. Disputes are submitted to the competent court in Amsterdam.
11. Electronic signature
The Investor agrees that the electronic signature captured below, together with the recorded timestamp, IP address and device information, constitutes a legally binding signature and evidence of intent to be bound.
